Filing of Petitions with Commercial Registry

Decree of the Ministry of Justice of the Slovak Republic No. 25/2004 Coll. stipulating the Specimens of Forms for Filing Petitions for Registration with the Commercial Registry and a List of Documents which are Necessary to be Attached to the Petition

By the Decree of the Ministry of Justice of the Slovak Republic, the Act on Commercial Registry and amending and supplementing other acts is implemented.

The given Decree regulates specimens of the forms for the filing of petitions for registration with the Commercial Registry, petitions for the registration of changes with the Commercial Registry and petitions for the deletion of the registered data from the Commercial Registry and also the list of documents to be attached to the mentioned petitions.

Pursuant to the Decree, a petition for the registration of the data with the Commercial Registry, petition for the registration of changes with the Commercial Registry as well as a petition for the deletion of the registered data from the Commercial Registry, are to be filed with the Commercial Registry only on the forms, the specimens of which are mentioned in the annexes to the Decree. The deeds expressly stipulated in particular provisions of the Decree and in annexes to the Decree are being attached to the mentioned petitions.

Pursuant to the Decree, the petitions being filed with the Commercial Registry shall be furnished with the fiscal stamps, or the document showing the payment of the court fee should be attached thereto.

In case the registration of data is proposed which does not result in any annex attached to the petition for the registration of data with the Commercial Registry, the Decree stipulates the obligation of the petitioner to submit with such petition the affidavit, wherein such data are mentioned.

The Decree also regulates further specific requisites of the filing of petitions for the first registration as well as for the registration of changes of data registered for the particular business companies, co-operative, enterprise of the foreign person, branch office of the enterprise of the foreign person, and for other legal entity, as well as the requisites of the petitions for the registration of data in case of acquisition, merger and de-merger of the companies, and of petition for the deletion of registered entity from the Commercial Register.

This Decree came into force on 1 February 2004.
