Decree of the Ministry of Finance of the Slovak Republic No. 93/2002
Coll. stipulating Prerequisites of the Application for Grant of Prior Approval pursuant to Sec.
102 para. 1 of the Act No. 566/2001 Coll. on Securities and Investment Services and on amending
and supplementing certain other acts (Act on Securities)
This decree introduces prerequisites of the application for granting the prior approval
for:
- (a)
- acquisition or exceeding of any interest in the registered capital of the central
depository within a single operation or several operations directly or by concurrent
act,
- (b)
- acquisition of business interest of the central depository in the registered capital of
legal entities exceeding 33% in the registered capital of these legal entities,
- (c)
- election of members of the Board of Directors and the Supervisory Board and for
appointment of a procurist of the central depository,
- (d)
- deciding on dissolution of a company to which a permission for incorporation and acting
as a central depository has been granted,
- (e)
- decrease in the registered capital of a central depository, save for decreases due to
settlement of losses, and for
- (f)
- merger of a central depository with another central depository or legal entity seated
abroad with a similar scope of business activities.
This Decree is in force from 1 March 2002.
